Terms & Conditions for Aircraft Maintenance & Avionics Services

The terms and conditions on this page apply to aircraft services (maintenance, repair, etc), aircraft parts, and avionics services and parts provided by Bison Aviation, as well as general website information. This page DOES NOT apply to airborne EO/IR, FLIR and mission support equipment services or sales. These terms and conditions ("Terms and Conditions") accompany Bison Aviation's ("Bison Aviation") Purchase Order and Work Order, and if accepted, along with the Purchase Order/Work Order, form the complete agreement between Bison Aviation and Customer ("Agreement"). Customer is deemed to accept these Terms and Conditions by a written or electronic acknowledgment of accompanying Purchase Order/Work Order or by commencement of work as contemplated by this Agreement. Acceptance hereof by customer supersedes, nullifies and voids any other terms, conditions, representations, understandings, in oral or written form with respect to the Purchase Order(s)/Work Orders referencing this Agreement.

GENERAL TERMS AND CONDITIONS

Authority to Execute: The person signing this agreement (“customer”) has actual authority, as owner of the aircraft or authorized agent for the owner of the aircraft, to authorize Bison Aviation to undertake and perform all repair services requested, contemplated, or deemed necessary for the aircraft, as determined by the work proposal attached hereto. When applicable, all references to customer noted in this contract include the owner of the aircraft.

Scope of Repairs: Repair services include, but are not limited to, the furnishing of labor, parts, materials, components, appliances, and supplies for the purpose of repairing, restoring, replacing or upgrading the component or aircraft and any items located thereon or attached thereto. Repair services do not include freight charges, fuel or flight costs, and any applicable government taxes or fees, which may also become due and payable. The customer will be required to provide Bison Aviation such information as date of installation, hours in service as reflected in aircraft log book, nature of defect and any other information to allow Bison Aviation the opportunity to meet vendor’s warranty requirements.

Right of Possession: Bison Aviation is entitled to payment for all repair services performed on the component or the aircraft. Until such time as the total amounts owed have been paid, Bison Aviation has a right to maintain possession of the component and aircraft and all original logbooks associated therewith. Upon full payment for all repair services performed on the component or aircraft, Bison Aviation shall release the aircraft and its accompanying original logbooks to the customer or any other person so designated, in writing, by the owner of the aircraft. For purposes of this section, the owner of the aircraft is to be determined by reference to the most recently recorded Bill of Sale on file with the Federal Aviation Administration (FAA) registry whether it be an individual or entity. Unless otherwise agreed upon in writing, payment for repair services are due and payable upon demand. If payment in good funds is not tendered to Bison Aviation within ninety (90) days from the time that fees for repair services become due and payable, Bison Aviation is entitled to file and record a mechanic’s lien for payments due, which may be enforced in accordance with applicable state statutes. This contract is in no way intended to waive the application of state’s lien statutes. Bison Aviation is not liable for any damages caused by delay in returning the aircraft to service and customer specifically waives any claim to damages of any and all types arising from delay in returning the aircraft to service.

Lien Enforcement: If, prior to the time that full payment for repair services has been made, Bison Aviation elects, in its sole and exclusive discretion, to release possession of the aircraft or component, the parties mutually agree that this release of possession constitutes a good and valuable benefit in favor of the customer. For consideration of this benefit, the parties mutually agree that the customer knowingly and intentionally waives any right to contest the validity of any mechanic’s lien recorded pursuant to state law due to Bison Aviation’s failure to have actual possession of the aircraft at that time. Regardless of whether Bison Aviation relinquishes possession of the aircraft prior to receipt of full payment for repair services, Bison Aviation is entitled to maintain possession of the original aircraft and/or component logbooks until such time as full payment is received.

Fees for Storage: In the event that Bison Aviation is required to maintain possession of the aircraft due to nonpayment of repair services, Bison Aviation is entitled to collect a fee for hangar storage or storage equal to that amount Bison Aviation customarily charges for storage of an aircraft or component of similar type, commencing upon default of the demand for amounts due and owing. Bison Aviation shall thereafter be entitled to maintain and enforce a lien for hangar rent or storage in accordance with applicable state Statutes.

No Bailment: No bailment is created by Bison Aviation’s possession of the aircraft. The customer bears the risk of loss of the aircraft or component due to unforeseen hazards or events. Bison Aviation shall not be liable for any failure to perform repair services due to causes beyond its control, including but not limited to strikes, lockouts or other labor difficulties, machinery breakdowns, inability to obtain transportation, delays of carriers or suppliers, fires, floods, acts of God, acts of terrorism, war or other outbreaks of hostilities, and any foreign or domestic embargoes. Under no circumstances shall either party be liable to the other party for indirect, consequential, special, or exemplary damages, whether in contract or tort (including strict liability and negligence) such as, but not limited to, loss of use or diminution in value.

No Waiver: The failure of Bison Aviation to immediately enforce any provision, right, or remedy of this contract does not waive the right of Bison Aviation to enforce the provision, right, or remedy at some later time, nor does it preclude the right of Bison Aviation to enforce any other provision, right, or remedy of this contract. The failure of Bison Aviation to immediately collect payments when due is not a waiver of any amounts due and owing, and the acceptance of partial payments does not mean that Bison Aviation has waived the right to collect the full amounts due and owing.

Consent to Photography: Customer consents that Bison Aviation may photograph, video, or otherwise record images of Customer's aircraft and may use said recordings for any purpose which Bison Aviation deems fit, including commercial applications such as advertising.

Contract Construction: In interpreting this contract, the parties agree that it should be interpreted as if neither party had drafted it for its own benefit, such that there is no presumed bias in favor of, or against, either party.

Severability: If a court of competent jurisdiction determines that any section of this agreement is not enforceable, or otherwise void or illegal, the remainder of the agreement shall remain in full force and effect, and the parties remain bound by its provisions.

Applicable Law: This agreement is to be construed in accordance with the laws of the State of Texas, United States.

Dispute Resolution: Any disputes arising under this agreement, including claims regarding actions leading to the execution of this contract, or for any repair services performed hereunder, shall be resolved by adjudication in the civil courts of Bexar County, Texas, United States. The parties agree to waive a jury trial in any such litigation.

Attorney’s Fees: If Bison Aviation is required to take any action to enforce the provisions of this agreement, Customer agrees to compensate Bison Aviation for the incursion of any court costs and attorney’s fees. Attorney’s fees include appellate fees.

PARTS EXTENDED LIMITED WARRANTY

1. REPAIRED / OVERHAULED EQUIPMENT: Bison Aviation, LLC (Bison Aviation.) warrants all equipment and spare parts which it repairs or overhauls to be free of defects in workmanship and material for a period specified. Repaired units for 30 days and overhauled units for 90 days from date of invoice. The material found defective must be returned within the warranty period. This warranty is limited to repair, replacement or refund of purchase price at Bison Aviation’s discretion. All freight, labor, resulting damage or related costs caused by the defective part will not be covered unless specifically agreed to in writing by an authorized Bison Aviation Representative. The cost of removal and installations must be paid by the customer. Purchaser is required to provide Bison Aviation such information as the date of installation, hours in service as reflected in aircraft log book, nature of defect and any other information to allow Bison Aviation. the opportunity to meet vendor’s warranty requirements. The warranty is void if the unit shows signs abuse, alteration(s), broken seal(s), improper installation(s) or packaging inadequate for the protection of the item returned by shipment. The warranties set forth herein are expressly in lieu of any and all other warranties and obligations either expressed or implied, including warranty of merchantability, fitness or suitability for any purpose. If a component is returned for warranty and it is determined that the warranty is denied, customer will be billed for all incurred costs.

2. EXCHANGE POLICY: All exchange core units must be same identical part number and modification status unless otherwise agreed upon by Bison Aviation. If exchange core units are not same identical part number and modification status, customer will be billed an addition for, or forfeit the core deposit for all upgrade and/or replacement costs. Exchange prices are based on the return of identical item with routine overhaul or repair costs. Cost of repair or overhaul above routine charges will be billed in addition to the exchange charges. The exchange price will not be applicable in the case of abnormal or excessive damage due to fire, use, accident, abnormal wear or unauthorized repair. All cores must be returned within ten (10) days from the date of removal or the cost of the core plus non cash fees will be billed in addition as appropriate by Bison Aviation.

3. CORE RETURN CERTIFICATION REQUIREMENTS: Due to the requirement of traceability of parts, Bison Aviation will provide a Repairable Core Return tag. This provided tag serves as a component history record for all exchange units. Bison Aviation will not accept a core unit without its provided tag completed. The customer will forfeit the core deposit if any, if the core return tag is not attached to returned core part. Units found to be uneconomical to repair will be returned to the customer and the core deposit will be forfeited to Bison Aviation or a core deposit will be billed for replacement cost of the component or part.

4. MATERIAL RETURN POLICY: All returns for credit or refund must be accompanied by a return authorization number provided by Bison Aviation. Items returned for credit or refund will be billed a restocking fee. This fee will be determined by component due to re-certification fees. Due to FAA requirements, all components returned will have to be re-certified to be placed back into stock.

5. GENERAL CONDITIONS AS TO COMPONENTS AND PARTS: All units are to be shipped prepaid to Bison Aviation in an appropriate shipping container to avoid damage during transit. Shipments requiring counter to counter service will be billed all shipping cost in addition to a special handling charge of One Hundred United States Dollars (US$100.00). Any assessed HAZMAT fees will be added to and included in the final invoice. Bison Aviation reserves the right to make changes in or additions to in its policies without prior notice to its customers. All first orders will be billed C.O.D. unless credit terms are pre-arranged. After thirty (30) days, all unpaid balances are subject to one and a half percent (1.5%) per month / eighteen percent (18%) annual percentage rate and the account will be placed on a C.O.D. basis.

6. CUSTOMER SUPPLIED PARTS: Parts supplied by customers will be subject to a handling fee of 20% (Twenty Percent) of Original Equipment Manufacture (OEM) suggested retail pricing, not to exceed $5000.00 (Five thousand). Bison Aviation will not be liable for any labor or part warranty on customer supplied parts if the part(s) fails to operate correctly. Customer supplied parts must be accompanied with all approved documentation prior to installation. Cores for customer supplied parts are the sole responsibility of the customer once returned to the customer. Bison Aviation is not liable for any charges assessed for customer supplied parts.

BISON AVIATION LABOR WARRANTY

1. LABOR FOR PARTS INSTALLED: Bison Aviation, LLC (Bison Aviation) warrants all labor to be free of defects in workmanship for thirty (30) days from the date the aircraft was approved for return to service for the work performed. Parts purchased by Bison Aviation are subject to the vendor's warranty, if any such warranty exists. All labor rework will be completed at the Bison Aviation facility will be covered in full by Bison Aviation; all expenses incurred for rework completed at a different facility will be covered by the customer. Customer will be required to provide Bison Aviation such information as date of installation, hours in service as reflected in aircraft log book, nature of defect and any other information to allow Bison Aviation the opportunity to meet vendor’s warranty requirements. The warranty is void if the unit shows signs of abuse, alterations, broken seals, improper installations or improper packaging for shipment. The warranties set forth herein are expressly in lieu of any and all other warranties and obligations expressed or implied, including warranty of merchantability, fitness or suitability for any purpose. In no event shall Bison Aviation be liable for resultant damage, consequential damages or loss of use of components or overall equipment. If a component is returned for warranty and it is determined that the warranty is denied, customer will be billed for all incurred costs.

LIMITATION OF LIABILITY

BISON AVIATION'S LIABILTY ON ANY CLAIM OF ANY KIND, INCLUDING BREACH OF CONTRACT OR WARRANTY OR FOR NEGLIGENCE OR OTHER CONDUCT, FOR ANY LOSS OR DAMAGE ARISING OUT OF, CONNECTED WITH, OR RESULTING FROM THIS AGREEMENT, OR FROM THE PERFORMANCE OR BREACH THEROF, OR FROM THE SALE, DELIVERY, RESALE, OR REPAIR OF ANY GOODS COVERED BY OR FURNISHED UNDER THIS AGREEMENT SHALL IN NO CASE EXCEED THE PRICE ALLOCABLE TO THE WORK PERFORMED BY BISON AVIATION, GOOD(S) SOLD BY BISON AVIATION, OR THE PART THEREOF WHICH GIVES RISE TO THE CLAIM. IN NO EVENT SHALL BISON AVIATION BE LIABLE FOR ANY FOR INDIRECT, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS. THE LAWS OF SOME STATES DO NOT PERMIT CERTAIN LIMITATIONS ON WARRANTIES OR REMEDIES. IN THE EVENT SUCH A LAW APPLIES, THE FOREGOING EXCLUSION AND LIMITATIONS ARE AMENDED INSOFAR, AND ONLY INSOFAR, AS REQUIRED BY SAID LAWS.

These Terms and Conditions are accepted and approved by customer upon acceptance of work order or issuance of purchase order.

What Bison Aviation Aviation May Do with Your Information:

If you choose to give us personal information for any of the purposes above, this information is retained by Bison Aviation Aviation and will only be used by Bison Aviation Aviation to support your customer relationship with us. We will not add you to a mailing list, or newsletter without your registration for this service. We will only contact you if further information is required from you to complete a service.

What Others May Do with Your Information:

Bison Aviation Aviation does not share, rent, or sell any personally identifying information provided through our Site (such as your name or email address) to any outside organization for use in its marketing or solicitations. From time to time Bison Aviation Aviation may use agents or contractors who will have access to your personal information to perform services for Bison Aviation Aviation (such as DATABASE MAINTENANCE, or TECHNICAL SUPPORT), however, they are required by us to keep the information confidential and may not use it for any purpose other than to carry out the services for Bison Aviation Aviation. In addition, Bison Aviation Aviation may also share aggregate information about its customers and its web site visitors to advertisers, business partners, and other third parties. For example, we might share that our users are x percent PCs users and y percent Macintosh users. None of this information, however, will contain personal, identifying information about our users.

Bison Aviation Aviation On-line Store:

The Bison Aviation Aviation On-line Store is designed to give you options concerning the privacy of your identifying information. If you choose, you can set up an account. This will allow you to have a customized order page for express ordering and to view your purchasing history. To protect your privacy, we have designed the Sites to include certain steps to verify your identity before granting you access or enabling you to make corrections in an account. When purchasing products through the our web site, the order form will also ask you to provide a daytime telephone number. We know customers are concerned about credit card security. We utilize a merchant services vendor which is responsible for the safe collection and processing of your credit card data, in accordance with credit card industry standards. We DO NOT retain your credit card information, either in digitial or physical form at any of our locations or on any of our servers.
